If you use the Services on behalf of a company or other organization, you confirm that you are authorized to accept these Terms on its behalf. If you do not agree to these Terms, do not use the Website or the Services.
Using the Website does not create an agreement to supply the Services. The Services are provided to Customers only under a Customer Agreement.
2. Definitions

3. Using the Website
The Website provides general information about Kanban Suite and a way to request a demonstration. It gives a general overview of the Services, not a full description of their features or how they work. The features each Customer receives are set out in its Customer Agreement.
The screens, location names, people’s names and figures shown on the Website are examples for illustration. They are not real customer data or results.
When using the Website, you must not:
- Try to gain unauthorized access to the Website or the systems behind it, or test their vulnerability without our written permission.
- Overload, disrupt or interfere with the Website, including through automated requests.
- Submit false, misleading or another person’s information through any form.
- Copy, scrape or reuse the Website’s content for commercial purposes without our written permission, except as allowed by law.
Where the Website links to other websites, we are not responsible for their content or privacy practices.
4. Demo Requests
When you submit a Demo Request, you confirm that the information you give is accurate and that you are authorized to give it, including any information about the organization you represent.
A Demo Request does not create any obligation for you or for us to enter into a Customer Agreement. We may decline or not respond to a Demo Request at our discretion.
We use the information in a Demo Request as described in our Privacy Policy.
5. Demonstration and Evaluation Access
We may give a Prospective Customer, or individuals it names, Evaluation Access to help it decide whether to use the Services. Unless a separate written evaluation agreement says otherwise:
- Purpose. Evaluation Access is given only so that the Prospective Customer can assess whether the Services meet its own business needs. You may compare the Services with other products for that purpose, based on your own experience of using them.
- Temporary access. Evaluation Access lasts for the period we tell you, or until we end it. We may end or change it at any time, with or without notice. Data entered during Evaluation Access may be deleted when it ends, unless we agree in writing to carry it over into a Customer Agreement.
- Sample data. Demonstration environments may contain sample data. Do not enter real personal data or sensitive business data into a demonstration environment unless we have agreed in writing that you may.
- Credentials. Sign-in details are personal to the individual they are issued to. They must not be shared with any other person or organization.
- Confidentiality. Non-public information about the Services that you see or receive during a demonstration or evaluation is our Confidential Information under section 14.
- Restrictions. You must not use Evaluation Access to copy, record for redistribution, extract or reproduce Kanban Materials, to build or help build a competing product or service, or to probe or test the security of the Services without our written permission. The restrictions in section 13.3 apply.
- No commitment. Evaluation Access is provided “as is”, without any service-level or availability commitment and, to the extent permitted by law, without warranties.
6. The Services
Kanban Suite is a business management platform for organizations that operate one or more locations. It helps Customers organize, monitor and analyze their operations. Depending on the Customer’s package, settings and Customer Agreement, the Services may include:
- Business and operational records, such as company, Store, item and supplier records.
- Inventory and stock control, including stock counts, checks, waste and transfers between Stores.
- Cost management and profitability, including product and recipe costing and sales information from point-of-sale (POS) systems.
- Purchasing and procurement.
- Workflow management, approvals, notifications and announcements.
- Analytics, reporting, dashboards and automated business insights.
- Data imports from files and, where included, integrations with third-party systems such as ERP and POS systems, including a connector that the Customer can install on its own computer.
- An application that can be installed on phones and computers, with limited offline use.
The features available to each Customer depend on its package, its settings and its Customer Agreement.
7. Accounts and Access
Accounts are created only by invitation. Kanban creates the Customer’s Entity and invites its first Tenant Admin, who then invites the other Users. Customers must give accurate and up-to-date information when requesting the Services and setting up their Entity.
Customers are responsible for:
- Inviting only individuals they have authorized.
- Giving each User suitable roles, permissions and Stores.
- Keeping passwords, sign-in codes, recovery codes and connection keys confidential, and deciding whether their Tenant Admins must use two-step sign-in.
- Reviewing active Users and removing access for people who should no longer have it.
- Making sure their Users use the Services in line with these Terms.
Customers are responsible for activity carried out through their Entity to the extent allowed by applicable law, except where that activity results from Kanban’s breach of its obligations.
Users must tell their Tenant Admin or Kanban promptly if they suspect unauthorized use of their account.
8. Customer and User Responsibilities
Customers and Users must:
- Use the Services only for lawful and authorized business purposes.
- Give accurate and reasonably complete information.
- Have the rights and permissions needed for the information and files they upload or connect.
- Respect the intellectual property and privacy rights of others.
- Not share accounts or sign-in details with anyone.
- Not try to access Entities or data belonging to other Customers.
- Not disrupt the Services, interfere with their operation, or place an unreasonable load on them.
- Not bypass access controls, usage limits or security measures, or test the security of the Services without our written permission.
- Respect the restrictions in section 13.3.
- Not use the Services to spread malicious software, commit fraud or carry out unlawful activities.
9. Customer Data
9.1 Ownership. Customer Data belongs to the Customer or to its original rights holders. Kanban does not acquire ownership of Customer Data because it is entered, stored or processed in the Services.
9.2 Kanban’s limited rights. The Customer gives Kanban a limited, non-exclusive right to host, copy, process and display Customer Data only as needed to provide, maintain, support, secure and protect the Services, to prevent or address technical, security or service problems, and to comply with law, in each case in line with the Customer Agreement and the Privacy Policy. Kanban does not sell Customer Data and does not use it for purposes unrelated to providing the Services unless the Customer agrees or the law requires it.
9.3 Customer responsibilities. The Customer confirms that it has all the rights, permissions and legal bases needed to provide Customer Data and use it in the Services, including information about its staff, suppliers and other individuals, and that it has given any notices required by law to those individuals.
9.4 Personal data. Where Customer Data includes personal data, Kanban processes it on the Customer’s behalf, as described in the Privacy Policy. The Customer Agreement, including any data processing terms, may set out further processing terms and prevails over these Terms on those matters.
9.5 Files and exports. Uploaded import files are kept for 90 days and then deleted; the Customer should keep its own copy if it needs a file for longer. Large exports prepared in the background can be downloaded for 24 hours.
10. Data Accuracy and Results
Reports, figures and automated insights shown by the Services depend on the data entered or imported and on the Customer’s settings, such as its recipes or product structures, prices, quantities and units of measure. Therefore:
- Customers are responsible for the accuracy of the information they provide.
- Product and recipe structures, item settings, units of measure, costs and approval settings should be checked before relying on the results.
- Results may be affected by wrong, incomplete or late data, including data from connected systems.
- Some records, such as submitted stock counts, become final once submitted and are corrected only by new records.
- Automated insights are produced from the Customer’s own data. They are suggestions to support decisions, not financial, accounting, legal or other professional advice.
- Important reports and results should be checked before being used for significant financial, accounting or operational decisions.
Kanban provides tools to support monitoring, analysis and management. It does not replace the Customer’s own internal controls, accounting review or business decisions.
11. Integrations and External Systems
Kanban offers data import from files and, where included in the Customer Agreement, integrations with external systems such as ERP and POS systems and a connector installed on the Customer’s own computer. The Customer acknowledges that:
- Integrations can send records created in Kanban to the Customer’s connected systems.
- Some integrations depend on systems and providers outside Kanban’s control, whose interfaces, terms and availability may change.
- The Customer is responsible for giving the access and information needed for integrations, and for keeping its connection keys secret.
- Where the Customer installs the connector, the Customer is responsible for protecting the computer it runs on and the files it sends.
- Some features may be affected by outages, changes or limits in external systems.
We do not guarantee the continued availability of any external service or integration that is not under our direct control. The Customer’s use of a third-party system is governed by that third party’s own terms.
12. Kanban Access to Customer Entities
Kanban Support can work inside a Customer’s Entity only while the Customer’s Tenant Admin has turned on support access, for the period and with the level of access (view only, or allow changes) that the Tenant Admin chooses. The Tenant Admin can end it at any time. Every support visit is recorded in the Customer’s audit log, and the Tenant Admins are notified when support enters.
Kanban’s administration area cannot open the Customer’s settings or its day-to-day records. It shows account information and the set-up Kanban does for the Customer’s account, such as its connections to other systems.
Kanban’s system administrators can technically access the servers and backups that hold Customer Data, and use this access only to run, secure, repair and restore the Services. The Privacy Policy describes this access in more detail.
13. Intellectual Property
13.1 Kanban Materials. The Website and the Services, including their software and source code, object code, product interfaces, screen layouts and designs, trademarks, logos and branding, content and documentation, proprietary business logic, algorithms and calculation methodologies, and non-public technical materials (together, “Kanban Materials”), are owned by us or our licensors and are protected by intellectual property laws and, where applicable, as trade secrets.
13.2 Limited right to use. Customers receive a limited, non-exclusive, non-transferable and non-sublicensable right, during the term of their Customer Agreement, to use the Services and their documentation for their own internal business purposes, within the scope of their package and Customer Agreement, and to allow their Users to do so. Persons with Evaluation Access receive the same limited right for the evaluation purpose in section 5 and for the period of their access. All rights not expressly granted are reserved by us.
13.3 Restrictions. Except where applicable law expressly allows it despite this restriction, or with our prior written consent, no Customer, User, Prospective Customer or Visitor may:
- Copy, modify, translate, adapt or create derivative works of the Kanban Materials.
- Decompile, disassemble or reverse engineer the software, or otherwise try to obtain its source code, underlying algorithms or calculation methods.
- Circumvent, disable or interfere with any security feature, access control, usage limit or other technical protection.
- Sell, resell, sublicense, rent, lend, distribute or otherwise make the Services or Kanban Materials available to any third party, or use them to provide services to third parties, except as the Customer Agreement allows.
- Reproduce protected components of the Services, such as their interfaces, screen designs, documentation or non-public materials, in another product or service.
- Use the Services, their interfaces, documentation or Confidential Information to build or help build a competing product or service.
- Remove, hide or change any trademark, copyright or other ownership notice.
- Use automated tools to extract content or data from the Website or the Services, other than the Customer’s own data through the features provided.
- Use the Kanban Materials for any commercial purpose not permitted by these Terms or the Customer Agreement.
13.4 What we do not claim. These Terms do not give us exclusive rights in general business ideas, general functionality, or methods that are publicly known or independently developed, and they do not prevent anyone from doing what applicable law expressly permits.
13.5 Customer Data and outputs. Nothing in this section affects the Customer’s ownership of its Customer Data. The Customer may use the reports and exports produced from its Customer Data for its own business purposes.
13.6 Feedback. If you give us suggestions or feedback about the Services, we may use them without restriction or payment. This does not give us any rights to your Customer Data or your Confidential Information.
13.7 Trademarks. Kanban Suite and the Kanban name and logo are our trademarks. Other product and company names mentioned on the Website or in the Services belong to their respective owners.
14. Confidentiality
14.1 What is confidential. “Confidential Information” means non-public information that one party (the “discloser”) gives to the other (the “recipient”) in connection with the Website, the Services or a possible or actual business relationship, which is marked as confidential or which a reasonable person would understand to be confidential. It includes information exchanged during commercial discussions, product demonstrations, technical evaluations, customer onboarding and the performance of a Customer Agreement, such as pricing and commercial proposals, non-public product features, plans and roadmaps, security and technical documentation, and the Customer’s non-public business information. Customer Data is the Customer’s Confidential Information.
14.2 Obligations. The recipient will use the discloser’s Confidential Information only to evaluate, provide or receive the Services, will protect it with at least reasonable care, and will share it only with its employees, advisers and service providers who need to know it and who are bound by confidentiality duties at least as protective as these.
14.3 Exclusions. Confidential Information does not include information that:
- Is or becomes public without breach of these Terms.
- The recipient lawfully knew before receiving it from the discloser.
- The recipient lawfully receives from a third party without a duty of confidentiality.
- The recipient develops independently, without using the discloser’s Confidential Information.
14.4 Required disclosure. The recipient may disclose Confidential Information where required by law or by an order of a competent authority. Where legally allowed, it will tell the discloser first and disclose only what is required.
14.5 Duration and return. Confidentiality obligations continue after the relationship ends, for as long as the information remains confidential, or for any longer period required by applicable law. On request, the recipient will return or delete the discloser’s Confidential Information, except copies it must keep by law or that remain in routine backups until they expire, which stay protected under this section.
14.6 Relationship to intellectual property. These confidentiality obligations are separate from, and in addition to, the intellectual property rights in section 13. Information that is not confidential may still be protected by intellectual property rights.
15. Subscriptions and Fees
Fees, packages, currency, billing frequency, additional services, renewal terms and cancellation conditions are set out in the Customer Agreement. Payments are made outside the platform, as set out in that agreement.
No fees or payment obligations apply unless expressly agreed with the Customer.
If payment is late, we may take the steps provided for in the Customer Agreement, including pausing access to the Services after giving suitable notice, subject to applicable law.
16. Service Availability and Changes
We aim to provide stable Services and to keep improving them. However, availability may be affected by maintenance, updates, technical failures, internet connection problems, external systems or events beyond our reasonable control.
We may develop, change, add or remove features, subject to Customer Agreements and our legal and contractual obligations. If a Customer Agreement includes specific service levels or availability commitments, that agreement governs those matters.
17. Suspension and Termination
We may pause access to the Services, or to some of them, where needed in these cases:
- A material breach of these Terms or the Customer Agreement.
- Suspected unlawful activity or unauthorized access.
- A threat to the security of the Services or of Customer Data.
- A legal order or obligation requiring it.
- Failure to pay fees due under the Customer Agreement.
- Use of the Services in a way that harms the Services, our customers or others.
Where legally and reasonably possible, we will tell the Customer the reason and give it a chance to fix the issue before acting.
The Services may end in line with the Customer Agreement or at the Customer’s request. Evaluation Access may end as described in section 5.
18. Data Export and Deletion
While their Services are active, Customers can export the lists, records and reports on each screen, and should export any data they need before the Services end.
When the Services end:
- The Customer’s Entity is locked.
- We can provide the Customer with a readable copy of its business records and files.
- After the waiting period set out in the Customer Agreement, the Customer’s data is permanently deleted, as described in the Privacy Policy.
19. Warranties and Disclaimers
Kanban will provide the Services with reasonable skill and care and in line with the Customer Agreement.
Except as expressly stated in these Terms or the Customer Agreement, and to the extent permitted by applicable law:
- The Website, its content and any Evaluation Access are provided “as is” and “as available”.
- We do not warrant that the Website or the Services will be uninterrupted or error-free, or that they will meet requirements that have not been agreed in the Customer Agreement.
- We give no other warranties, whether express or implied, including implied warranties of fitness for a particular purpose.
Nothing in this section limits any warranty or right that cannot be excluded under applicable law.
20. Limitation of Liability
To the maximum extent allowed by applicable law:
- Kanban is not responsible for business or operational decisions made on the basis of data, reports, figures or automated insights shown by the Services.
- Kanban is not responsible for errors caused by wrong or incomplete information or wrong settings provided by the Customer.
- Kanban is not responsible for failures or losses caused by external systems outside its control.
- Kanban is not liable for indirect, consequential or incidental damages, loss of profits or loss of business opportunities.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
Any financial limit on liability is set in the Customer Agreement, subject to applicable law.
21. Indemnification
The Customer is responsible for claims, losses or damages arising directly from its breach of these Terms, its unlawful use of the Services or its infringement of third-party rights, to the extent set by applicable law.
This section does not release either party from liability for its own conduct or breaches where that liability cannot legally be excluded.
22. Force Majeure
Neither party is liable for delay or failure to perform its obligations caused by events beyond its reasonable control, including natural disasters, war, civil unrest, widespread internet, telecommunications or power outages, government actions, or other events that count as force majeure under applicable law. This section does not excuse payment obligations for Services already provided.
23. Changes to These Terms
We may update these Terms to reflect changes to the Website, the Services or legal requirements. The updated version will be published on the Website with a new version number and “Last updated” date.
Where changes are material, or where a Customer Agreement requires notice or consent, we will follow the process set out in that agreement and applicable law.
Continued use of the Website or the Services after the updated Terms take effect means acceptance of the changes, to the extent allowed by applicable law.
24. Governing Law and Dispute Resolution
These Terms are governed by and interpreted under the laws in force in the Kurdistan Region of Iraq and the applicable federal laws of Iraq.
Kanban Suite is offered to customers in many countries. Where a Customer Agreement is made under the law of another country, the law named in that agreement applies to it, together with any rules of the Customer’s country that cannot be excluded by agreement.
The parties will first try to settle any dispute about the Website, the Services or these Terms through good-faith discussion.
If the dispute cannot be settled that way, it will go to the competent courts of the Kurdistan Region of Iraq, unless the Customer Agreement names other courts or another method of settling disputes.
25. General Provisions
If any provision of these Terms is found invalid or unenforceable, the other provisions stay in full force.
If either party does not use a right under these Terms, that does not mean it gives up that right.
These Terms, together with the Customer Agreement and any approved additional agreements or schedules, govern the use of the Services. If these Terms conflict with a signed Customer Agreement, the signed Customer Agreement prevails to the extent of the conflict.
These Terms are published in English and Arabic. If the two versions differ, the version in the language that the law of the Customer’s agreement requires prevails; where that law requires none, the language named in the Customer’s agreement prevails.
